3. Eligibility

DealRoomLab.com is a general-audience website primarily intended for users in the United States.

The website is not directed to children under 13.

agreements with The Deal Room without the involvement of a

parent or legal guardian where required by law.

Specific products, communities, events, services, or opportunities may have additional eligibility requirements.

When these Terms are updated, the “Last Updated” date at the top of the page may be changed.

If we make material changes, we may provide additional notice

when appropriate.

Your continued use of The Deal Room after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

You may not impersonate another person or create an account using information you do not have permission to use.

We may suspend or terminate accounts that violate these Terms, create security concerns, or are used fraudulently or unlawfully.

7. Communities and User-Generated Content

The Deal Room may offer communities, discussion areas, comments, profiles, groups, member spaces, messaging features, or other features that allow users to submit or publish content.

We may remove, restrict, moderate, or refuse User Content when we reasonably believe doing so is appropriate.

We are not required to monitor every piece of User Content and do not guarantee that all community content will be accurate, appropriate, or reliable.

8. Ownership and License for User Content

You generally retain ownership of the original User Content you create.

By submitting User Content through a feature operated by The Deal Room, you give us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, format, and technically modify that content as reasonably necessary to operate, maintain, secure, and provide the applicable service or

community.

This license does not transfer ownership of your original content to The Deal Room.

If you publish something in a public or member-visible area, you understand that it may be visible to other users with access to that area.

Do not post confidential, private, proprietary, financial, or sensitive

information in community areas unless the feature is specifically designed for that purpose.

9. Acceptable Use

You agree not to misuse DealRoomLab.com or other services operated by The Deal Room.

You may not:

We reserve the right to investigate suspected misuse and take reasonable action.

10. Intellectual Property

Unless otherwise stated, content created and provided by The Deal Room is owned by or licensed to The Deal Room and is protected by applicable intellectual-property laws.

This may include:

- worksheets

- frameworks

-educational resources

- presentations

- other original materials

Your access to The Deal Room does not transfer ownership of our intellectual property to you.

Unless we expressly give you permission, you may not:

- copy substantial portions of our content

- republish our content

- resell our content

- redistribute paid resources

- sublicense our materials

- create unauthorized commercial derivatives

- present our work as your own

- use our materials to create a competing commercial product

- commercially exploit our content

You may make reasonable personal use of content made available for personal use.

Any additional license provided with a particular resource or product will control for that resource.

11. Trademarks and Brand Assets

The Deal Room name, logos, branding, graphics, and other brand identifiers may be protected trademarks or proprietary brand assets.

You may not use them in a way that falsely suggests:

- sponsorship

- endorsement

- affiliation

- partnership

- authorization

Nothing in these Terms grants you a license to use The Deal Room branding commercially unless we expressly provide that permission.

12. Paid Products and Services

The Deal Room may offer paid products or services now or in the future, including:

- digital resources

- courses

- memberships

- communities

- tools

- workshops

- consulting or educational programs

- events

- subscriptions

- other products or services

The specific price, payment structure, access period, deliverables, and other material terms for an offer will be disclosed at or before purchase.

Some products or services may also have additional terms.

If offer-specific terms conflict with these general Terms, the more specific terms applicable to that purchase will control for that

offering.

13. Payments

When purchasing a paid offering, you agree to provide accurate payment and billing information and authorize the applicable charges disclosed at checkout.

Payment processing may be handled by third-party payment providers.

The Deal Room does not necessarily receive or store your full payment-card information when transactions are processed by an outside payment processor.

You are responsible for applicable charges associated with purchases you authorize.

Prices may change for future purchases unless otherwise agreed.

14. Subscriptions and Recurring Payments

Some future products, memberships, communities, or services may use recurring billing.

If an offer automatically renews, the applicable enrollment or checkout process will disclose material terms such as:

- the amount charged

- billing frequency

- when recurring charges begin

- applicable trial or promotional terms

- renewal terms

- how to cancel

By enrolling in a recurring offering, you authorize the recurring charges described at signup until the subscription is canceled or

otherwise ends.

Cancellation procedures will be provided with the applicable

offering and will be administered subject to applicable law.

Canceling a subscription generally stops future renewals. Whether access continues through the end of an already-paid billing period will depend on the terms presented for that particular offering.

15. Refunds and Cancellations

Refund, return, cancellation, and credit policies may differ depending on the product or service.

The applicable policy will be disclosed at or before purchase.

Unless a specific offer states otherwise, you should not assume that every digital product, membership, event, service, or educational resource is refundable.

Nothing in these Terms eliminates refund, cancellation, or other consumer rights that cannot legally be waived.

16. Events

The Deal Room may host or participate in online or in-person events.

Events may have additional terms relating to:

- registration

- payment

- cancellation

- refunds

- recordings

- photography

- conduct

- access

- venue requirements

Those event-specific terms will apply in addition to these Terms.

17. Email Communications

By voluntarily subscribing or otherwise requesting communications, you may receive emails from The Deal Room, including:

- newsletters

- educational content

- requested resources

- announcements

- updates

- marketing communications

- promotional offers

- information about products or opportunities

Marketing emails will include an applicable method for unsubscribing.

You may continue to receive non-promotional communications reasonably necessary for transactions, account administration, responses to inquiries, or other service-related purposes.

18. SMS and Text Messaging Terms

The Deal Room may offer informational and promotional SMS or text-message communications.

When you expressly opt in to an SMS program, you consent to receive the types of messages described at the time of enrollment, which may include automated or marketing messages where disclosed.

Message frequency may vary.

Message and data rates may apply depending on your mobile plan.

Consent to receive marketing text messages is not a condition of purchasing a product or service.

You may withdraw consent by replying STOP to applicable messages or by using another reasonable opt-out method made available to you.

You may reply HELP where supported for assistance.

We will process valid opt-out requests as required by applicable law.

Carriers are not responsible for delayed or undelivered messages.

You are responsible for providing a phone number that you are authorized to use and for notifying us if your number changes.

Additional disclosures may appear on the form or page where SMS consent is collected.

19. Third-Party Websites and Services

The Deal Room may link to or discuss third-party:

- websites

- lenders

- capital providers

- service providers

- professionals

- software

- tools

- communities

- products

- educational resources

- businesses

A link, mention, interview, introduction, or discussion does not automatically mean that The Deal Room controls, guarantees, or accepts responsibility for that third party.

When you leave DealRoomLab.com and interact directly with another company, your interaction is governed by that company's own:

- terms

- privacy policy

- contracts

- pricing

- disclosures

- qualification requirements

You are responsible for reviewing those terms before entering into a transaction.

20. Financing, Lending, and Capital Relationships

The Deal Room may discuss financing, lending, capital sources, deal structures, or financing opportunities as part of its educational content and relationships.

The Deal Room may also direct interested users to a separate company, lender, broker, capital provider, intake form, or service.

Unless expressly stated otherwise for a particular transaction, The Deal Room itself is not representing through this website that it is the direct lender, underwriter, broker, investment adviser, or funding provider for an opportunity discussed on the website.

If you follow a link to a separate financing or service provider, any application, underwriting process, approval decision, rates, terms, closing requirements, funding decisions, or contractual relationship will be governed by that provider.

No content on DealRoomLab.com guarantees that:

- financing will be available

- an application will be accepted

- a loan will be approved

- a transaction will close

- particular rates or terms will be offered

- a lender or capital provider will participate

More detailed financing and investment disclosures are provided on The Deal Room's Disclaimers Page.

21. Your Responsibility for Decisions

You remain responsible for decisions you make based on information obtained through The Deal Room.

Before entering into a transaction, investment, financing arrangement, business acquisition, real estate deal, or other material commitment, you should conduct appropriate due diligence and obtain professional advice when appropriate.

Information that may be useful in one situation may not be appropriate in another.

22. No Guarantee of Results

The Deal Room does not guarantee particular business, financial, investment, financing, real estate, educational, or other results.

Examples, scenarios, interviews, case studies, educational materials, and discussions are provided for informational purposes and should not be interpreted as promises that another person will achieve the same outcome.

23. Availability and Changes to Services

We may:

- add features

- remove features

- modify content

- change products

- discontinue products

- update resources

- restrict access

- perform maintenance

- change the structure of the website or community

We do not guarantee that every feature will always remain available.

Where you have purchased a paid offering, any applicable contractual or consumer rights associated with that purchase remain subject to its specific terms and applicable law.

24. Disclaimer of Warranties

To the fullest extent permitted by law, DealRoomLab.com and the content, resources, communities, tools, and services provided through The Deal Room are provided on an “as is” and “as available” basis.

We do not guarantee that:

- the website will always be available

- content will always be error-free

- every piece of information will be current

- every third-party resource will remain available

- every technical feature will operate without interruption

- content will be suitable for every user's circumstances

Nothing in this section excludes warranties or rights that cannot legally be excluded.

25. Limitation of Liability

To the fullest extent permitted by applicable law, The Deal Room and its owners, officers, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the website, content, services, or third-party resources.

This may include, where legally permitted, losses involving:

- profits

- revenue

- opportunities

- data

- transactions

- investments

- financing

- business decisions

To the fullest extent permitted by law, any aggregate liability arising from a particular paid product or service will not exceed the amount you paid to The Deal Room for that particular product or service during the twelve months immediately preceding the event giving rise to the claim.

For claims involving only free website content or free services, liability will be limited to the maximum extent permitted by applicable law.

Some jurisdictions do not permit certain liability limitations, so portions of this section may not apply to you.

26. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless The Deal Room and its owners, officers, employees, contractors, affiliates, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from:

- your unlawful use of The Deal Room

- your violation of these Terms

- User Content you submit

- your infringement of another person's rights

- fraud or intentional misconduct committed through your account

This provision will be applied only to the extent permitted by applicable law.

27. Suspension and Termination

We may suspend, restrict, or terminate access to an account, community, product, or service when reasonably necessary because of:

- violation of these Terms

- unlawful activity

- fraud

- abuse

- harassment

- security concerns

- nonpayment

- intellectual-property infringement

- material disruption of a community or service

Where appropriate, we may provide notice or an opportunity to correct a problem.

Some violations may justify immediate action.

Termination does not eliminate obligations that reasonably survive termination, including payment obligations, intellectual-property protections, dispute provisions, and limitations of liability.

28. Informal Dispute Resolution

Before beginning arbitration, you and The Deal Room agree to make a good-faith effort to resolve the dispute informally.

The party raising the dispute should provide written notice describing:

- the party's name and contact information

- the nature of the dispute

- relevant facts

- the requested resolution

Notices to The Deal Room may be sent to:

[email protected]

The parties will have at least 30 days after receipt of the notice to attempt to resolve the matter informally before either party begins arbitration, unless immediate action is reasonably necessary to prevent substantial harm or preserve legal rights.

29. Binding Arbitration

If a dispute cannot be resolved through the informal process described above, the dispute will, to the fullest extent permitted by law, be resolved through individual binding arbitration rather than a lawsuit in court.

Arbitration will be administered by the American Arbitration Association (“AAA”) under the AAA rules applicable to the nature of the dispute, including applicable consumer rules where required.

If AAA is unavailable or unable to administer the dispute, the parties may agree to another nationally recognized arbitration provider. If they cannot agree, a court with appropriate jurisdiction may appoint an arbitration provider or arbitrator as permitted by law.

The arbitrator may award any individual remedy that would otherwise be available in a court of competent jurisdiction, subject to applicable law and these Terms.

The arbitration may take place remotely, by documents, by telephone, by video conference, or in another appropriate manner permitted under the applicable rules.

Nothing in this section prevents either party from bringing an eligible individual claim in small claims court.

Nothing in this section prevents a party from seeking temporary or emergency judicial relief when reasonably necessary to protect intellectual property, confidential information, systems, or other rights from immediate harm while arbitration is pending.

30. Class Action Waiver

To the fullest extent permitted by law, disputes between you and The Deal Room must be brought individually.

You and The Deal Room agree not to bring or participate in a dispute as:

- a class action

- a class arbitration

- a representative action

- a consolidated action involving unrelated claimants

- a private attorney general action, except where that right cannot legally be waived

The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual's claim.

If applicable law prevents enforcement of a particular portion of this Class Action Waiver, that portion will be handled as required by law without unnecessarily invalidating the remainder of the dispute-resolution agreement.

31. Governing Law

These Terms and disputes involving The Deal Room will be governed by applicable federal law and, where state law applies, the laws of the state in which the business entity operating The Deal Room is organized or principally established at the time the applicable dispute arises, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Once the long-term operating entity for The Deal Room is established, this section may be updated to identify a specific governing jurisdiction.

Mandatory rights provided by applicable consumer law are not waived merely because another state's law is identified in these Terms.

32. Severability

If a provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

An unenforceable provision may be interpreted or limited as necessary to make it enforceable while preserving its intended purpose as closely as legally possible.

33. No Waiver

If The Deal Room does not immediately enforce a provision of these Terms, that does not mean the provision has been waived.

A waiver on one occasion does not automatically constitute a waiver on another occasion.

34. Assignment

You may not assign or transfer your rights under these Terms without our prior written permission.

The Deal Room may assign these Terms in connection with a legitimate restructuring, merger, acquisition, sale, transfer of assets, change in ownership, or similar business transaction, subject to applicable law.

35. Electronic Communications

You agree that notices, agreements, disclosures, and other communications may be provided electronically when legally permitted.

Electronic communications may include:

- email

- website notices

- account notices

- electronic checkout disclosures

- other reasonable electronic methods

36. Entire Agreement

These Terms, together with any applicable:

- Privacy Policy

- Cookie Policy

- Disclaimers Page

- checkout terms

- product-specific terms

- community rules

- event terms

- additional agreements expressly incorporated into them

form the applicable agreement between you and The Deal Room regarding your use of the relevant website, product, or service.
